Welcome to AI Regent Inc. (doing business as Doc Talk, "AI Regent," "we," "us," or "our"). We provide healthcare professionals with tools for communication, scheduling, telehealth, documentation, billing, and AI-powered clinical support through our website, mobile applications, and related products and services (collectively, the "Service" or "Services").
By accessing or using any portion of the Service, whether as a registered user or visitor, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, Business Associate Agreement (BAA), and any applicable Enterprise Agreement. If you do not agree, do not use or access the Service.
AI Regent processes personal and health-related information in accordance with HIPAA and applicable privacy laws as an essential part of delivering the Service.
BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL. (See Section 9.)
You must be at least 18 years old and a licensed healthcare provider, medical student, clinic operator, or authorized clinic staff member within the United States. By registering, you represent that the information you provide, including credentials, is accurate and complete.
AI Regent operates in and under the laws of the United States. We make no representation that the Service is appropriate outside the U.S. or compliant with non-U.S. regulations.
You agree not to use the Services:
You are solely responsible for any content you submit ("User Content"), including medical notes, communications, and AI prompts. You represent that:
AI Regent may remove or restrict User Content at its discretion and has no obligation to store or maintain it beyond operational necessity.
AI Regent provides AI-powered tools and telehealth communications solely for informational and administrative purposes.
We strive to maintain uninterrupted access but may suspend or modify the Service for maintenance, upgrades, or operational reasons.
In such cases, AI Regent is not liable for downtime or interruptions. Refunds for paid subscriptions will be prorated when applicable.
You must safeguard your login credentials and promptly notify AI Regent of any unauthorized access.
You are responsible for all activity on your account. Enterprise users acknowledge that their employer or clinic may have administrative oversight of account usage.
Certain Services may require paid subscriptions. Fees are billed in advance and auto-renew unless canceled before renewal.
You authorize AI Regent and its payment processors to charge your selected payment method for subscription and renewal fees.
Refunds are provided only where required by law or specified in promotional terms.
Your privacy is governed by our Privacy Policy and Business Associate Agreement (BAA) (incorporated herein by reference).
If you transmit Protected Health Information (PHI), both you and AI Regent agree to comply with HIPAA, HITECH, and any applicable state privacy laws.
AI Regent uses secure, encrypted communication tools but cannot control device-level access, sharing, or misuse of information outside our systems.
The Service may link to or integrate with third-party applications (e.g., EHRs, payment processors, or messaging systems).
AI Regent is not responsible for such third parties, their terms, or compliance practices. Use of third-party services is at your own risk.
You may use Doc Talk communication tools to connect with patients, colleagues, and clinics.
You are solely responsible for ensuring that any patient communications comply with HIPAA, TCPA, and all applicable consent requirements.
By registering, you consent to receive administrative or promotional messages from AI Regent related to your account or product updates.
You may opt out of promotional messages as described in the Privacy Policy.
All content, code, design, and functionality of the Service are the exclusive property of AI Regent Inc. and protected by U.S. and international intellectual property laws.
You may not copy, reverse-engineer, or redistribute the Service or its content except as expressly permitted in writing.
AI Regent grants you a limited, revocable, non-exclusive license to access and use the Service for lawful purposes in accordance with these Terms.
By submitting User Content, you grant AI Regent a non-exclusive, worldwide, royalty-free, perpetual license to store, process, and display such content solely for the operation and improvement of the Service and in compliance with the Privacy Policy and HIPAA.
AI Regent may suspend or terminate your account for any violation of these Terms or legal requirements.
Upon termination, your access to the Service ceases immediately, and any surviving provisions (privacy, ownership, liability, arbitration) remain in effect.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." AI REGENT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
AI REGENT IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL AI REGENT'S TOTAL LIABILITY EXCEED $100 OR THE AMOUNT PAID BY YOU IN THE PREVIOUS 12 MONTHS, WHICHEVER IS GREATER.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
Any dispute arising under or related to these Terms shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in Delaware (or your home state if arbitration there would cause undue hardship).
You and AI Regent waive any right to participate in a class action.
Each party shall bear its own costs, except where otherwise required by applicable arbitration rules.
